Terms of Use

The B Lab Europe Learning Platform Terms of Use (“Terms of Use”) are defining the conditions under which you may access and use the Learning Platform and all the functionalities provided (hereinafter designated together the “Service”). 

By accessing or using the Service or by logging into with your allocated User ID, you agree to be bound by these Terms of Use. The User undertakes to have legal ability and means required to access and use the Service and acknowledges to have read, understood and accepted without limitation or reservation the Terms of Use, which apply in addition to the Privacy Policy.

These Terms of Use are permanently available.

Please review these Terms of Use carefully prior to using the Service. If you do not agree with these Terms of Use, you are not permitted to use the Service.

2. Definitions

  • Learning platform: The Learning Platform, edited by Sana Labs and provided by Stichting B Lab Europe, which allows you to benefit from the Service.
  • Data Protection Law: The Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data (General Data Protection Regulation) and any applicable national data protection law, all as amended.
  • Service: The learning platform and all the functionalities and content provided within it, as described in these Terms of Use.
  • User Account: Your dedicated online account that provides you with access to the Service.
  • Identifiers: The login and password or social login you use to create and access your User Account.
  • Party or Parties: Refers to you (the User) and Stichting B Lab Europe, either individually or collectively.
  • Service Content: Any data, text, files, information, images, graphics, audio and video clips, and other materials made available by B Lab Europe through the Service.
  • User or Users: Any person authorized by Stichting B Lab Europe to access and use the Service after creating a User Account.
  • User Content: Any content you create, post, or share on or through the Service, including information, data, photos, and other materials.

3. Term

The Terms of Use will come into effect on first access to the Service for the entire duration of use.

4. Description of the Service 

The Service is an online learning platform designed to provide a variety of learning initiatives and resources related to the B Corp movement and B Lab’s standards. 

The Service Content may include self-paced courses, live online sessions, and learning materials. Access to the Service is intended for authorized Users to enhance their knowledge and skills.

No legal liability for content. 

5. Access to the Service

Access to the Service shall be subject to the creation of a User Account. 

The Service is available on the website https://learn.bcorporation.eu/

The User must ensure to have (the “User’s System”):

  • The ability and means required to access the Services and to use it;
  • The appropriate hardware (computer, smartphone…) and operating software and shall maintain full responsibility for the maintenance and adequate reasonable security; 
  • An Internet access from any access provider of the User’s choice;
  • An adapted configuration of the browser.

Users shall bear all the costs for accessing the Service.

6. User Account 

Creation of user accounts require the entering of personal identification data through the online registration form accessible at the following address: https://training.bcorporation.eu/ 

User Accounts are for personal use only. The User is responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account. If the User forgets her/his password, the User can generate a new one by clicking on the link “Forgot your password?” available [https://learn.bcorporation.eu].  

The User is solely responsible for the activity that occurs on their User Account and is fully responsible for keeping their Identifiers secure and confidential and for any use of their Identifiers by third-parties or for any actions made through their User Account, whether fraudulent or intentional, or not, and agrees to indemnify Stichting B Lab Europe in full for any costs, claims, damages, or other liabilities incurred by Stichting B Lab Europe  in this respect. 

The User agrees to provide fully accurate and complete information when creating or updating their Account information.

If the User has reason to believe that a person is fraudulently using identification elements or their User Account, they must immediately inform Stichting B Lab Europe  by e-mail at the following address [learn@bcorporation.eu].

In case of loss, misappropriation or unauthorized use of their password, the User shall immediately notify Stichting B Lab Europe. 

Users may not use another user’s account without permission. A User Account may not be shared, transferred, or sold to other parties, nor used by or made available to any person or entity except the registered User.   

7. Cost of Service and Payment Terms

7.1 Subscription Fees

Access to the Service is provided on a subscription basis and is charged per individual User seat (or as otherwise specified in the applicable order). The applicable fees and any discounts (including, where relevant, launch offers, B Corp discounts or volume-based pricing) are those indicated on the Learning Platform website, in the applicable online order flow, or in the order form or invoice issued by Stichting B Lab Europe to the contracting entity (together, the “Order Terms”) at the time of purchase.

7.2 Precedence of Order Terms

In the event of any inconsistency between these Terms of Use and the Order Terms with respect to pricing, subscription duration, or applicable discounts, the Order Terms shall prevail for the relevant subscription term.

7.3 Multiple Seats and Packages

Users purchasing multiple seats may be offered specific package pricing or discounts as described in the Order Terms or in a separate written agreement. Any such arrangements are valid only for the term and scope defined in those documents.

7.4 Taxes and Payment Processing Fees

All fees are exclusive of any applicable value added tax (VAT), sales tax, or other governmental charges, which will be added at the applicable rate. Any transaction or payment processing fees applied by payment providers may be passed on to the User or the contracting entity and will be indicated during the checkout process or in the Order Terms.

7.5 Billing, Invoicing and Payment Terms

(a) Unless otherwise stated in the Order Terms, subscription fees are due and payable in full in advance for each subscription term.

(b) Payment shall be made using one of the payment methods made available by Stichting B Lab Europe or its payment service providers.

(c) If any amount due is not paid on time, Stichting B Lab Europe may suspend or restrict access to the Service until payment is received, and may terminate the applicable subscription in accordance with Article 12.

7.6 Renewals and Changes to Pricing

(a) Subscriptions renew automatically for successive periods equal to the initial subscription term (unless otherwise specified in the Order Terms), unless cancelled by the User or the contracting entity in accordance with any applicable cancellation process and notice period.

(b) Stichting B Lab Europe reserves the right to change its subscription fees, discount structures, and package configurations from one subscription term to another. Any such changes will not apply to an ongoing, pre-paid subscription term but will only take effect upon renewal.

(c) Where required by applicable law, Stichting B Lab Europe will notify the User or the contracting entity of any price changes within a reasonable time before the renewal date and will provide information on how to cancel the subscription before the new pricing takes effect.

7.7 Free Trials and Promotional Access

Where a free trial period or other promotional access is offered, access to the Service during such period is provided free of charge, subject to these Terms of Use and any specific conditions communicated at sign-up. At the end of the free trial or promotional period, continued access to the Service may convert into a paid subscription at the then-applicable rate set out in the Order Terms, unless the User or the contracting entity cancels in accordance with the instructions provided at sign‑up or in the User Account settings.

7.8 No Refunds

Unless otherwise required by mandatory applicable law or expressly stated in the Order Terms, all fees paid are non‑refundable and non‑creditable, including in cases of early termination, downgrade, or non‑use of the Service.

8. Intellectual Property

8.1. B Lab Europe Content

All existing and future intellectual property rights regarding the Service and the Service Content (“B Lab IP”), for example but not limited to brands, trademarks, logos, trade names, and knowhow, and all other content, including all copies, modifications, extensions and derivative works thereof are owned by and vested in Stichting B Lab Europe. 

The User will duly and timely notify Stichting B Lab Europe of any third party suit, challenge or infringement with respect to the (validity or title to) the B Lab IP.

Nothing contained in the Agreement shall grant User any right, title or interest in the B lab IP, except as explicitly set out in this clause 8.2.

Any reproduction, representation, distribution, modification, adaptation or translation of the various Service Content, in whole or in part, in any form and current or future medium is strictly prohibited, without prior express authorization of Stichting B Lab Europe. Any use of the Service Content not expressly authorized by Stichting B Lab Europe shall constitute a violation of the Terms of Use and a violation of intellectual property rights.

The User may not use or register any name, logo, brand or insignia of Stichting B Lab Europe or any of its subsidiaries or affiliated entities  for any purpose except with Stichting B Lab Europe’s prior written approval and in accordance with any restrictions required by Stichting B Lab Europe. 

8.2. User’s right of use

Stichting B Lab Europe grants the User a limited, non-exclusive, non-transferable, and revocable license to use the Service for the User’s internal business or organizational purposes and, where applicable, personal learning purposes, in accordance with these Terms of Use.  Except as specifically permitted by these Terms of Use, User may not modify, transmit, produce, distribute, display, sell, license, broadcast, or otherwise make available in any form or by any means any part of the Service or the Service Content without the express written permission of Stichting B Lab Europe. 

In connection with the use of the Services and Service Content or User’s Content, the User is not authorized to, or cannot allow a third party to:

  • violate any applicable laws, rules or regulations, notably cause damage or injury to any person or property, infringe any rights of third parties including but not limited to any intellectual property rights and privacy rights or perform any other illegal, harmful or fraudulent activities;
  • probe, scan, or test the vulnerability of any system or network;
  • remove, circumvent, disable, damage or otherwise interfere with any security measures of any network, computer or communications system, software application, or network or computing device;
  • attempt to connect without permission and/or damage, in any way whatsoever, any users, hosts or networks;
  • disturb, hamper, interfere or interrupt the access to or operation of the Service and Service Content including by transmitting any worms, viruses, spyware, malware or any other code of a destructive or disruptive nature.  

8.3. User’s undertakings

By using the Service, the User represents and warrants that she or he has the legal right and capacity to enter into these Terms of Use in the User’s jurisdiction. The User further represents and warrants that she or he is at least sixteen (16) years of age, or the legal age of majority in the User’s jurisdiction if higher, and is fully competent to use the Service and to enter into and comply with these Terms of Use. Persons who do not meet this age requirement are not authorized to access or use the Service.

8.4. Indemnification

Without prejudice to any other rights or remedies available to Stichting B Lab Europe under these Terms of Use or at law, the User agrees to indemnify and hold harmless Stichting B Lab Europe, its affiliates, officers, employees and contractors from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:

a. any breach by the User of these Terms of Use;

b. any misuse of the Service by the User (including any use in violation of applicable laws or regulations); or

c. any claim by a third party relating to the User Content, the User’s use of the Service, or the User’s violation of any rights of such third party.

This indemnity shall not apply to the extent that any such claims, damages, losses, liabilities, costs or expenses result from the willful misconduct or gross negligence of Stichting B Lab Europe. Where the User qualifies as a consumer under applicable law, this indemnity clause shall apply only to the maximum extent permitted by such law and shall not deprive the User of any mandatory statutory rights.

9. Security 

B Lab Europe prioritizes user security and employs measures to safeguard User accounts and personal information. In the event of a security breach or unauthorized account activity, you must contact us at learn@bcorporation.eu immediately.

10. Prohibited behaviors 

User must not create accounts with the Service through unauthorized means, including but not limited to, by using an automated device, script, bot, spider, crawler or scraper.

User must not attempt to restrict another User from using or enjoying the Service and must not encourage or facilitate violations of these Terms of Use. 

User may only use the Service and Service Content for non-commercial purposes. Use of Service or the Service Content for any commercial, public or political purpose is strictly prohibited.  Prohibited activities include, but are not limited to: (1) activities that are illegal or fraudulent; (2) use that inaccurately implies endorsement, approval, or sponsorship by Stichting B Lab Europe (or any individual officer or employee of Stichting B Lab Europe) or any of its affiliated entities or partners; (3) use that can be confused with official communications of Stichting B Lab Europe or its officers or employees, or that of its affiliated entities or partners; and (4) print or electronic mass mailings (sometimes known as “spamming”), solicitations for commercial services. 

11. Reporting and moderation

In order to ensure the Learning Platform provides the best experience possible for everyone, if a User sees any inappropriate content, she or he must use the “Report as offensive” feature found under each post or reach out to learn@bcorporation.eu

12. Termination, suspension, or revocation of access

12.1 Deletion of the User Account by the User

At any time, the User may delete its User Account by contacting Stichting B Lab Europe.

Deletion is effective immediately and all the data collected upon the subscription as well as the content published by the User on the Learning Platform is deleted after a period of 30 days.

12.2 Suspension or termination of the User Account by Stichting B Lab Europe in case of breach of the Terms of Use

Stichting B Lab Europe retains the right to suspend User’s access to the Service to make all investigations necessary following a report made pursuant to Article 11 or in case of presumed breach of Terms of Use which may be remediated. 

Any User whose User Account is suspended will be informed by Stichting B Lab Europe of this decision by email. The User may send an email to Stichting B Lab Europe to obtain the reasons for the suspension. If the violation of Terms of Use is not remedied within one (1) month from suspension notification (if applicable), Stichting B Lab Europe reserves the right to terminate the applicable User’s Account and right to use the Service, in addition to any other rights or remedies available. Stichting B Lab Europe reserves the right to cancel a User account immediately for any reason or cause. 

12.3 Deletion of inactive User Account

Stichting B Lab Europe will delete inactive accounts after a continuous period of one (1) year if the User has not used the Learning Platform. The User will be informed by email of the deletion of his or her account subject to prior notice of two (2) weeks allowing the User to object to such deletion.

14. Limitation of Warranty and Liability; Indemnification. 

Stichting B Lab Europe is not responsible for the User’s device compatibility or if the User is unable to connect due to any technical problem related to the Internet network or a failure in the User’s computer facilities and equipment. 

Stichting B Lab Europe shall not be responsible for User’s System nor any problems arising from or related to User’s System or caused by the Internet. User is responsible for the security of the User System and the security of its access to and connection with the Services.

Insofar as it has not been reported in the conditions of Article 11, any document, information, data, or elements available via the Service, including User Content (“Information”) is provided without any guarantees, notably that the Information is comprehensive or accurate. 

The User is solely responsible for the use of the Information and bears all the risks arising from their  reliance on this Information. The Information is provided on the condition that the User determines their interest for a specific purpose before use. Under no circumstances does Stichting B Lab Europe  accept liability for injury arising from reliance on the said Information, its use or use of a product to which it refers.

The User is solely responsible for all User Content posted, and assumes all risks relating to its use by others and others’ reliance on its accuracy. The User acknowledges that, following the publication of the any content, its information will become accessible to all the Users on the Learning Platform and that as such, same information will be published, modified, translated, reproduced in any form and accessible, saved and reproduced by other Users and Stichting B Lab Europe. Stichting B Lab Europe will have no responsibility or liability in connection with the User Content.

Stichting B Lab Europe expressly excludes any liability for events of any kind that may occur during any meeting organized between Users within the use of the Services.

15. Privacy & Confidentiality

By using the Service, User’s personal data, in the meaning of Data Protection Law, may be collected and processed by Stichting B Lab Europe, in compliance with the Stichting B Lab Europe Privacy Policy and the Cookie Policy, (collectively, “Privacy Policies”).  

Stichting B Lab Europe will treat User Content as confidential information in accordance with these Terms of Use and the Privacy Policies.   

16. Miscellaneous 

16.1. Governing Law and jurisdiction. 

The Agreement shall be exclusively governed by the laws of the Netherlands. 

All disputes that may arise from the Agreement shall be settled by the competent court of the District Court of Amsterdam.

16.2. Change of Terms of Use, and Severability.  

If any provision in the Agreement is held to be or becomes unenforceable, in whole or in part, the Parties agree that such invalidity shall not affect the validity of the remaining provisions of the Agreement, and further agree to substitute for the invalid provision a valid provision which approximates the intent and economic effect of the invalid provisions as closely as possible.

The terms of the Agreement may be modified only in writing signed by authorized representatives of both Parties.

16.3. Change of the Service. 

Stichting B Lab Europe may further develop or modify the Service or the Service Content.  

16.4 Force majeure. 

No Party shall be liable or responsible to the other Party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts beyond the impacted Party’s (“Impacted Party”) reasonable control, including, without limitation, the following force majeure events (“Force Majeure Event(s)”) that frustrates the purpose of this Agreement: (a) acts of God; (b) flood, fire, earthquake or explosion; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order or law; (e) actions, embargoes or blockades in effect on or after the date of this Agreement; (f) action by any governmental authority; (g) national or regional emergency; (h) strikes, labor stoppages or slowdowns or other industrial disturbances; (i) epidemic, pandemic or similar influenza or bacterial infection; (j) emergency state; (k) shortage of power or transportation facilities; and (l) other similar events beyond the reasonable control of the Impacted Party.
